Platform Terms of Service
These Terms of Service ("Terms") govern your use of the Okami Martial Arts Studios enrollment website and member portal (the "Service"). Please read them carefully. By creating an account or using the Service, you agree to these Terms.
1. Who We Are
The Service is provided by Okami Martial Arts Studios ("Okami," "we," "us," or "our"), a martial arts school located in Bradenton, Florida. The enrollment website and member portal are built and operated on our behalf by JMB Image Studios LLC, a Florida limited liability company operating as Eos Automations, our technology provider. These Terms cover your use of the online Service. They are separate from the enrollment agreement you sign for any specific program, which governs the membership itself.
2. Acceptance of Terms
By creating an account, enrolling a student, or otherwise using the Service, you confirm that you have read, understood, and agree to be bound by these Terms and by our Privacy Policy. If you do not agree, do not use the Service.
We may update these Terms from time to time. When we make a material change, we will update the version and prompt you to review and accept the new Terms the next time you sign in. Your prior acceptance remains the binding agreement for the period it covered.
3. Eligibility and Accounts
You must be at least eighteen (18) years old to create an account. Accounts for children and teens are created and managed by an enrolling parent or legal guardian.
If you create an account on behalf of a minor child, you represent that you are the child's parent or legal guardian and that you accept these Terms on the child's behalf. You are responsible for all activity that occurs under your account and any account you manage.
You agree to provide accurate, current, and complete information, to keep it up to date, and to keep your sign-in credentials confidential. Notify us immediately of any unauthorized use of your account.
4. Enrollment and the Enrollment Agreement
The Service lets you enroll students in our programs, select a schedule, sign an enrollment agreement, and set up payment. Each enrollment is governed by a separate Student Enrollment Agreement and Liability Waiver that you sign electronically during enrollment. If anything in these Terms conflicts with a signed enrollment agreement regarding your membership, the enrollment agreement controls.
Your electronic signature on an enrollment agreement, and your acceptance of these Terms, are legally binding under the federal E-SIGN Act and the Florida Uniform Electronic Transaction Act.
5. Billing, Payments, and Refunds
Tuition and fees are charged through Stripe, our third-party payment processor, using the payment method you place on file. By enrolling, you authorize recurring charges according to the billing schedule shown at enrollment and in your enrollment agreement, and you authorize us to keep a payment method on file until you cancel.
All payments are final and non-refundable, except as expressly stated in your enrollment agreement or as required by applicable law. The cancellation, late-payment, and default terms that apply to your membership are set out in your enrollment agreement.
We do not store full card numbers; card details are handled by Stripe under its PCI-compliant systems.
6. Acceptable Use
You agree to use the Service only for its intended purpose, which is managing your enrollment, billing, scheduling, documents, and communication with Okami. You agree not to:
•Use the Service for any unlawful, fraudulent, or harmful purpose.
•Access or attempt to access another person's account or data without authorization.
•Interfere with, disrupt, probe, or attempt to gain unauthorized access to the Service or its underlying systems.
•Upload malicious code or content that is unlawful, abusive, or infringes the rights of others.
•Copy, scrape, resell, or reverse engineer any part of the Service.
We may suspend or terminate access that violates these Terms or that we reasonably believe poses a risk to the Service or to others.
7. Communications
By providing your contact information, you agree that we may contact you about your account and enrollment by email, text message, and phone, including automated messages where applicable. Some of these messages are necessary to provide the Service and cannot be opted out of while you maintain an account. You can opt out of marketing and non-essential messages at any time as described in our Privacy Policy; every marketing or promotional email we send includes an unsubscribe link. Phone calls may be recorded and transcribed as described in our Privacy Policy.
8. Intellectual Property
The Service, including its software, design, text, graphics, and logos, is owned by Okami and Eos Automations and is protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable right to use the Service for your own enrollment and account management. Content you submit (such as photos or feedback) remains yours, and you grant us a license to use it as needed to operate and improve the Service.
9. Third-Party Services
The Service relies on third-party providers, such as Stripe and others described in our Privacy Policy. Your use of those features may also be subject to the third party's own terms. We are not responsible for third-party services we do not control.
10. Disclaimers
The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or completely secure. This section does not limit the safety or other obligations set out in your enrollment agreement.
11. Limitation of Liability
To the fullest extent permitted by law, Okami and Eos Automations will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of data, arising from your use of the Service. Our total liability for any claim relating to the Service is limited to the amount you paid, if any, to use the Service in the twelve (12) months before the claim. Nothing in these Terms limits any liability that cannot be limited under applicable law. Risks and releases relating to martial arts participation are governed by the liability waiver in your enrollment agreement.
12. Indemnification
You agree to indemnify and hold harmless Okami and Eos Automations from any claims, damages, or expenses arising from your misuse of the Service or your violation of these Terms.
13. Governing Law and Venue
These Terms are governed by the laws of the State of Florida, without regard to its conflict-of-laws rules. The exclusive venue for any dispute relating to the Service is the state or federal courts located in Manatee County, Florida.
14. Termination
You may stop using the Service at any time. Closing your account or ending the Service does not by itself cancel an active enrollment or relieve you of payment obligations under your enrollment agreement. We may suspend or terminate your access to the Service if you violate these Terms.
15. Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions remain in full force and effect.
